Terms and Conditions

These Terms and Conditions govern the provision of online and consultancy services by Connect3 Ltd (“we,” “our,” or “us”) to businesses (“Client,” “you,” or “your”). By purchasing our services, you agree to these terms.
1. General Information

1.2 Scope: These terms apply to all services provided by Connect3 Ltd, including but not limited to online services, consultancy, AI automation projects, and support packages.
1.3 Amendments: Connect3 Ltd reserves the right to amend these terms at any time. Changes will be effective upon posting to our website or notifying you directly.
1.4 Acknowledgment: By engaging our services, you acknowledge that you have read, understood, and agreed to these terms prior to entering into the agreement.
2. Services Provided
2.1 Description of Services: Connect3 Ltd offers online services, including AI content automation solutions, keyword optimization, automated multi-platform publishing, consultancy for business growth, and associated support services.
2.2 Customised Solutions: Where services are tailored to your requirements, a written agreement or statement of work (“SOW”) will detail the scope, deliverables, and associated costs.
2.3 Service Availability: We strive to deliver services promptly but cannot guarantee uninterrupted or error-free performance due to the nature of online and technological dependencies.
2.4 Post-Project Support: We provide post-launch support, including one-week and four-week check-ins to ensure adoption, answer questions, and make adjustments as needed.
3. Fees and Payments
3.1 Pricing: All prices are quoted exclusive of VAT unless otherwise specified. Cloud computing costs associated with AI tools (e.g., OpenAI, Make.com) will be billed separately as specified in the agreement.
3.2 Payment Terms: Payments are due within 14 days of invoice unless otherwise agreed. Failure to pay may result in suspension of services.
3.3 Late Payments: Interest will accrue on overdue amounts at 2% per month from the due date until full payment is received.
3.4 Refunds: Fees for consultancy services are non-refundable unless explicitly stated in the agreement. Refunds for online services are subject to specific terms outlined at the time of purchase.
3.5 Price Adjustments: We reserve the right to adjust pricing periodically, with at least 30 days’ notice for ongoing services. Adjustments will not affect projects already in progress unless otherwise agreed.
4. Client Responsibilities
4.1 Accurate Information: You must provide accurate and complete information necessary for the performance of our services.
4.2 Access: You agree to grant us timely access to any required systems, personnel, or resources to complete the agreed services.
4.3 Compliance: You are responsible for ensuring compliance with applicable laws, regulations, and third-party agreements relevant to the use of our services.
4.4 Use of Deliverables: Deliverables provided are for your internal business use only unless otherwise specified.
4.5 System Usage: You are responsible for monitoring and managing token/operation/credit usage in AI systems and cloud-based APIs to avoid excessive costs.
5. Intellectual Property
5.1 Ownership: All intellectual property created by Connect3 Ltd as part of the services remains our property until full payment is received. If partial payment is made, ownership rights will not transfer until the remaining balance is fully settled.
5.2 License: Upon full payment, we grant you a non-exclusive, non-transferable license to use the deliverables for their intended purpose.
5.3 Third-Party Materials: Any third-party software or tools used will remain subject to their respective licenses.
5.4 Termination of Ownership Rights: If the agreement is terminated before full payment, all intellectual property rights in deliverables revert to Connect3 Ltd.
6. Confidentiality
6.1 Confidential Information: Both parties agree to treat all non-public, proprietary information shared during the course of the agreement as confidential.
6.2 Exclusions: Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
6.3 Duration: Confidentiality obligations survive the termination of the agreement for a period of five (5) years.
7. Limitation of Liability
7.1 No Warranties: Services are provided “as-is” without any warranties, express or implied, including but not limited to fitness for a particular purpose.
7.2 Liability Cap: Our total liability under any claim arising from these terms is limited to the fees paid by you in the preceding six (6) months.
7.3 Exclusions: We are not liable for indirect, incidental, or consequential damages, including loss of profits or data.
7.4 AI and Cloud Service Usage: Connect3 Ltd is not liable for excessive costs incurred due to incorrect usage of AI systems or cloud-based APIs, including but not limited to unintended large jobs or overly frequent operations initiated by the client. To help mitigate such risks, we recommend adhering to usage guidelines provided during onboarding, enabling alerts or notifications where available, and regularly monitoring your usage to prevent errors.
8. Security and Data Handling
8.1 Access to Systems: Connect3 Ltd may require access to your systems, including login credentials and two-factor authentication codes, to deliver the agreed services.
8.2 Data Handling: Connect3 Ltd does not store client login credentials. All access information is used solely for the purpose of providing the services and is handled with utmost care.
8.3 Liability Disclaimer: Connect3 Ltd is not liable for any data breaches, account compromises, or loss resulting from access credentials being intercepted, misused, or otherwise compromised during transmission or due to third-party systems. To minimize such risks, we recommend clients use secure methods for transmitting sensitive information, enable two-factor authentication where possible, and regularly update passwords to enhance security.
9. Termination
9.1 Termination by You: You may terminate the agreement with 30 days’ written notice.
9.2 Termination by Us: We may terminate the agreement immediately if you breach these terms or fail to pay as agreed.
9.3 Effect of Termination: Upon termination, all outstanding fees become due. Deliverables will remain the property of Connect3 Ltd until full payment is received. Partial payments do not grant any usage rights or ownership, and deliverables may not be used in any form until the balance is fully settled.
10. Dispute Resolution
10.1 Negotiation: Both parties agree to resolve disputes amicably through good-faith discussions.
10.2 Jurisdiction: These terms are governed by English law, and disputes shall be subject to the exclusive jurisdiction of the English courts. For international clients, additional provisions may apply in compliance with the local laws of their jurisdiction; however, English law shall remain the primary governing law for this agreement.
10.3 Mediation: Before pursuing litigation, both parties agree to attempt resolution through mediation.
11. Miscellaneous
11.1 Entire Agreement: These terms, together with any SOW or written agreement, constitute the entire agreement between the parties.
11.2 Force Majeure: Neither party is liable for delays caused by events beyond their reasonable control, including natural disasters, strikes, technical failures, or delays caused by third-party providers or services used in delivering the solutions. This includes, but is not limited to, cloud service outages, API interruptions, or third-party software issues.
11.3 Severability: If any provision is found to be invalid, the remaining terms shall remain in effect.
11.4 Assignment: Neither party may assign or transfer this agreement without the prior written consent of the other party.
